This Non-Disclosure Agreement (the “Agreement”) is entered into between [Your Hammock Manufacturing Company] (“Disclosing Party”) and the recipient of confidential information (“Receiving Party”).
- Definition of Confidential Information: “Confidential Information” refers to any information, including but not limited to trade secrets, designs, manufacturing processes, pricing, customer lists, and other proprietary information disclosed by the Disclosing Party to the Receiving Party.
- Purpose and Use of Confidential Information: The Receiving Party agrees to maintain the confidentiality of the Disclosing Party’s Confidential Information and to use it solely for the purpose of evaluating or engaging in business activities with [Your Hammock Manufacturing Company].
- Obligations of the Receiving Party: a. The Receiving Party shall exercise reasonable care to protect the Confidential Information from unauthorized disclosure, using the same degree of care as it uses to protect its own confidential information. b. The Receiving Party shall restrict access to the Confidential Information to only those individuals who have a need to know the information for the permitted purpose. c. The Receiving Party shall not disclose, sell, publish, or otherwise make available the Confidential Information to any third party without the prior written consent of the Disclosing Party.
- Exceptions: This Agreement does not apply to information that: a. Is already publicly known or becomes publicly known through no fault of the Receiving Party. b. Was known to the Receiving Party prior to the disclosure by the Disclosing Party. c. Is rightfully obtained by the Receiving Party from a third party without any obligation of confidentiality. d. Is independently developed by the Receiving Party without reference to the Confidential Information.
- Term and Termination: This Agreement shall remain in effect for a period of [insert duration] from the effective date. Either party may terminate this Agreement at any time upon written notice.
